Terms of Service

This document is a draft awaiting review by counsel. Its effective date will be set when it is finalized.

These Terms of Service (“Terms”) govern your use of the website, member portal, membership program and events of the US-China Chamber of Commerce Silicon Valley (“USCCCSV”, “the Chamber”, “we”, “us”). By creating an account, applying for membership, registering for an event, or using this website, you agree to these Terms and to our Privacy Policy.

1. Accounts

You must give accurate information when you create an account and keep it up to date. You are responsible for keeping your password confidential and for what happens under your account. One account is issued per membership. Tell us at once if you think someone else has used your account. We will email the address on your account whenever its password is changed, so that a change you did not make does not go unnoticed.

2. Membership and application review

Membership is open to businesses and individuals who support the Chamber’s mission. Applications are reviewed by the Chamber before a membership begins, and we may accept or decline any application. We aim to review applications within one to three business days, and nothing is charged while an application is waiting. Your membership begins once your application is approved and your first payment is received. Membership types and what each includes are described on the Membership page and may change from time to time.

3. Membership fees and automatic renewal

Automatic renewal. USCCCSV memberships are annual and renew automatically. Unless you cancel, your membership renews at the end of each 12-month term and the annual fee for your membership type is charged to the payment method you have saved, on each renewal date and every year after that, until you cancel. The current annual fees are US$100 for Business Membership, US$1,000 for Enterprise Membership and US$5,000 for VIP Enterprise Membership. The amount you are charged is always the amount shown to you at checkout.

Your consent. Before your first charge you are shown the recurring price, how often it recurs, and how to cancel, and you must tick a box agreeing to those automatic-renewal terms. You cannot reach payment without doing so. After you subscribe we email you an acknowledgment repeating the price, the renewal date and how to cancel, which you can keep.

Renewal reminders. We email the address on your account before each renewal charge — 30 days, 14 days and 7 days before the renewal date — stating the amount that will be charged, the date it will be charged, and how to cancel. These reminders are sent whether or not you have unsubscribed from our other email.

How to cancel. You may cancel at any time in the member portal. No telephone call, letter or conversation is required, and cancelling takes no more steps than joining did. Cancelling stops all future renewal charges immediately. Your membership and its benefits continue to the end of the term you have already paid for; at that point the membership expires and your directory listing, if you have one, is removed. Fees already paid for the current term are not refunded, so cancelling never costs you time you have paid for.

Price changes. If the fee for your membership type changes, we will email you at least 30 days before the new price takes effect and before it is charged, so that you can cancel first if you wish.

Failed payments. If a renewal payment fails we will email you and try the charge again. Your membership and benefits continue for 14 days while we do. If payment has not been received by the end of that period, the membership expires and benefits stop until payment is made.

Refunds. Membership fees are not refunded, except where the law requires it or where the Chamber says otherwise in writing. Cancelling does not end the term you have paid for — see How to cancel above.

4. Events

Event registration is subject to the places available and to any registration deadline. Some events carry a fee, charged once at registration; where an event has a member price, it is shown to you before you register. If an event has limited places, your place is held while you pay and released if payment is not completed. You may cancel your own registration in the member portal at any time before the event starts, and your place returns to the pool. Event fees are not refunded unless the Chamber cancels the event or the event page says otherwise. If the Chamber cancels an event, we will email everyone registered and tell them what happens to anything they have paid. The Chamber may photograph or record events; tell us at the event if you would rather not be photographed.

5. Member directory

If you opt in to the member directory, the profile information you choose to show is publicly visible while your membership is in good standing. You are responsible for the accuracy of what you publish there, and you may edit it, hide it, or opt out entirely at any time in the member portal.

6. Acceptable use

You agree not to misuse the website or member portal — including by attempting access you are not entitled to, collecting the member directory by automated means, sending unsolicited messages to members, posting unlawful or misleading content, or interfering with how the site runs. We may suspend or end an account that breaches these Terms or the Chamber’s bylaws or code of conduct.

7. Content and intellectual property

The Chamber’s name, logo and website content belong to the Chamber or to those who licensed them to it, and may not be used without permission. By submitting content — a member profile or a job posting, for example — you give the Chamber permission to display it in connection with the Chamber’s services.

8. Disclaimers and limitation of liability

The website and services are provided as they are, without warranties of any kind. To the fullest extent the law allows, the Chamber is not liable for indirect, incidental or consequential loss arising from your use of the website, your membership or our events, and its total liability is limited to the fees you paid the Chamber in the twelve months before the claim.

9. Governing law

These Terms are governed by the laws of the State of California, and any dispute will be heard in the state or federal courts in Santa Clara County, California.

10. Changes to these Terms

We may update these Terms. Each published version is kept permanently, and the version you agreed to is the one recorded against your consent. Material changes are posted on this page and sent to members by email before they take effect. Continuing to use the services after a change takes effect means you accept the updated Terms.

Open points for legal review

This section is for the Chamber and its counsel and should be deleted before these Terms are treated as final.

  • Section 3 as a whole against the California Automatic Renewal Law, and whether the disclosure wording, the consent mechanism and the cancellation route meet it. The 30 / 14 / 7 day reminders and the 14-day period after a failed payment are the Chamber’s current settings and can be changed.
  • Whether the Chamber’s nonprofit status changes anything under that law, and whether business purchasers are treated differently.
  • The refund position in section 3 and in section 4, including whether any pro-rata refund is required on cancellation and what happens to event fees when the Chamber cancels.
  • The limitation of liability in section 8 and the venue and dispute-resolution clause in section 9.
  • Whether a member whose membership lapses and later rejoins must give consent to automatic renewal again.
  • The effective date, and whether existing members must accept these Terms before they take effect.
