[LEGAL REVIEW REQUIRED] This is placeholder text drafted for the website build. It is not legal advice and must be reviewed by counsel before publication — in particular section 3 (automatic renewal), which must comply with California’s Automatic Renewal Law (Business and Professions Code §17600 et seq.). Effective date: [LEGAL REVIEW REQUIRED].
These Terms of Service (“Terms”) govern your use of the website, member portal, membership program, and events of the US-China Chamber of Commerce Silicon Valley (“USCCCSV”, “the Chamber”, “we”, “us”). By creating an account, applying for membership, registering for an event, or using this website, you agree to these Terms and to our Privacy Policy.
1. Accounts
You must provide accurate information when creating an account and keep it up to date. You are responsible for keeping your password confidential and for all activity under your account. One account is issued per member. Notify us immediately if you suspect unauthorized use of your account.
2. Membership and application review
Membership is open to businesses and individuals who support the Chamber’s mission. Applications are reviewed by the Chamber before activation, and we may accept or decline any application at our discretion. Your membership becomes active once your application is approved and your first payment is received. Membership types and benefits are described on the Membership page and may be updated from time to time.
3. Membership fees and automatic renewal
[LEGAL REVIEW REQUIRED — California Automatic Renewal Law disclosure]
Automatic renewal. USCCCSV memberships are annual subscriptions that renew automatically. Unless you cancel, your membership will renew at the end of each 12-month term, and the annual fee for your membership type — $100 per year for Business membership, or the price shown for your membership type at checkout — will be charged to the payment method on file on each renewal date, and every year thereafter, until you cancel.
Your consent. Before your first charge you will be shown the recurring price, the renewal frequency, and how to cancel, and you must affirmatively agree to these automatic-renewal terms by checking the consent box at checkout. We will email you an acknowledgment of these terms, including the price and how to cancel, after you subscribe.
Renewal reminders. We will send a renewal reminder to the email address on your account before each renewal charge (currently 30, 14, and 7 days before the renewal date), stating the amount that will be charged, the renewal date, and how to cancel.
How to cancel. You may cancel your membership at any time online in the member portal; no phone call or letter is required. Cancellation stops all future renewal charges. Your membership and benefits continue until the end of the term you have already paid for, after which the membership expires and your directory listing (if any) is removed. [LEGAL REVIEW REQUIRED: confirm the effect of cancellation and whether any pro-rata refund applies.]
Price changes. If the fee for your membership type changes, we will notify you by email at least 30 days before the new price takes effect and before it is charged, and you may cancel before the change applies. [LEGAL REVIEW REQUIRED: notice period.]
Failed payments. If a renewal payment fails, we will notify you by email and retry the charge. If payment is not received after our retry period, your membership will lapse and benefits will be suspended until payment is made. [LEGAL REVIEW REQUIRED: retry schedule and grace period.]
Refunds. Membership fees are non-refundable except as required by law or as expressly stated by the Chamber. [LEGAL REVIEW REQUIRED: refund policy.]
4. Events
Event registrations are subject to capacity and registration deadlines. Some events carry a fee, which is charged at registration as a one-time payment. Event fees are non-refundable unless the event is cancelled by the Chamber or otherwise stated on the event page. [LEGAL REVIEW REQUIRED: event refund and transfer policy.] The Chamber may photograph or record events for promotional purposes; please let us know at the event if you do not wish to be photographed.
5. Member directory
If you opt in to the member directory, the profile information you choose to display will be publicly visible while your membership is active. You are responsible for the accuracy of that information and may edit or hide your listing at any time in the member portal.
6. Acceptable use
You agree not to misuse the website or member portal, including by attempting unauthorized access, scraping the member directory, sending unsolicited communications to members, posting unlawful or misleading content, or interfering with the operation of the site. We may suspend or terminate accounts that violate these Terms or the Chamber’s bylaws or code of conduct.
7. Content and intellectual property
The Chamber’s name, logo, and website content are owned by the Chamber or its licensors and may not be used without permission. By submitting content (for example a member profile or job posting), you grant the Chamber a non-exclusive license to display it in connection with Chamber services.
8. Disclaimers and limitation of liability
The website and services are provided “as is” without warranties of any kind. To the fullest extent permitted by law, the Chamber is not liable for indirect, incidental, or consequential damages arising from your use of the website, membership, or events, and its total liability is limited to the fees you paid to the Chamber in the twelve months before the claim. [LEGAL REVIEW REQUIRED.]
9. Governing law
These Terms are governed by the laws of the State of California, and any dispute will be resolved in the state or federal courts located in Santa Clara County, California. [LEGAL REVIEW REQUIRED: venue and dispute resolution.]
10. Changes to these Terms
We may update these Terms from time to time. Material changes will be posted on this page and communicated to members by email before they take effect. Continued use of the services after changes take effect constitutes acceptance of the updated Terms.
